About Ndumiso
Ndumiso Dyantyi is a Director at Poswa Incorporated in the Banking & Finance and Corporate & Commercial practice. Ndumiso commenced his articles of clerkship with Webber Wentzel and has practised at some of South Africa’s leading law firms such as Norton Rose Fulbright and Fasken where he was a partner for more than four years prior to joining Poswa Incorporated.
Ndumiso was a visiting lawyer at a well-renowned and top tier American law firm, Skadden Arps Slate Meagher & Flom LLP, based in New York under the fellowship of the Cyrus Vance South African Visiting Lawyer Program, where he spent time in the banking and finance team. He has acted for a wide range of clients in corporate, leveraged, project finance, asset-based and acquisition finance. He has been exposed to a fair amount of debt restructuring, business rescue, insolvency, labour and employment-related matters. He has acted for companies across many sectors and industries such as construction, mining, rail, banking, health, asset management, motor industry, employment and general commercial litigation, renewable energy, power, corporate finance, and securities.
In the recent past, he has acted for the Public Investment Corporation and Heineken South Africa in various labour and employment-related matters. He has also acted for FirstRand Bank Limited, The Standard Bank of South Africa Limited (“Standard Bank”), Absa Bank Limited (“Absa”) and Nedbank Limited (“Nedbank”) on several solar, wind and infrastructure projects. He was instrumental in the financing and acquisition of various health facilities by the Busamed Group. Some of these energy and health infrastructure projects went on to win international awards.
Ndumiso also regularly acts as an external counsel to Industrial Development Corporation of South Africa Limited (“IDC”) in respect of the debt restructuring of entities where the IDC is a debt and equity funder. He was the lead advisor to the IDC transaction wherein the IDC was an equity funder in the Stellantis N.V’s establishment of a motor vehicle manufacturing plant in South Africa. He is also the lead advisor to the IDC in relation to an ongoing debt restructuring of one of the world’s largest phosphate and phosphoric acid producers. He was also intimately involved in the restructuring of the biggest timber producer.
